These communities are not limited to residences but also include office districts and industrial areas. What all of these data consumers share in common is a deficiency in obtaining affordable, fiber-class broadband data access. Sierra Fiber Technologies completed extensive market research in developing the core model region for development and has plans for development of sixteen communities in the Mid-Atlantic region and twenty in the Northeast corridor.

Sierra Fiber Technologies, Inc. specializes in fiber optic installation technology and related services. The Company has completed market research and developed deployment plans for thirty six total communities in the Mid-Atlantic and Northeast corridor of the United States. The Company has developed and will deploy a patented process for the installation of fiber optic networks to these markets. The Sierra process provides significant cost savings regarding the physical installation and also provides for significant control over transmission quality, tracking protocols, and revenue generation. The Company is managed by seasoned fiber sector professionals with a unified core vision to provide high speed connectivity to the entire United States including rural areas that would previously have been left undeveloped for high speed fiber optic networks.

In March of 2010, the founders of Sierra Fiber Technologies began business development operations with targeted market research on suitable local and regional residential communities, initially in the Mid-Atlantic region, consisting of single family, multi-family and townhome developments that were in need of fiber optic service offerings. These communities are not limited to residences but also include office districts and industrial areas which increases the scope and market for Sierra Fiber Technologies services. The target data consumers share in a deficiency obtaining affordable, fiber-class broadband data access. Sierra Fiber Technologies deployed the services of X-Mark Research, LLC to perform extensive market research in developing the core model region for development. The Company subsequently created plans for the development of sixteen communities in the Mid-Atlantic region and twenty in the Northeast corridor.

Sierra Fiber Technologies intends to build the world’s first market driven, carrier neutral, future proof, wire line and wireless redundant FTTx (fiber to the anyplace) network. The network will provide fully symmetrical, last mile, GB+ capability and can deploy network infrastructure from project to project simultaneously, due to the financial model currently under development. The major TELCO’s are focused on metropolitan areas which provides Sierra Fiber Technologies lower barriers to entry for second tier fiber markets that are currently underserved.

Terms of the offering

$22,000,000

Minimum Offering: $1,000,000

The Shares offered hereby are 20,000,000 shares of Series A Convertible Preferred Stock, for $1.10 per Share, $0.08 par value. The Company’s authorized capital consists of 50,000,000 shares of Preferred Stock and 150,000,000 shares of Common Stock. 60,000,000 shares of Common Stock are currently issued and outstanding. Upon completion of the Offering, between 1,000,000 and 20,000,000 shares of Series A Convertible Preferred Stock will be issued.

Series A Convertible Preferred Shares

The Series A Convertible Preferred Shares sold through this Offering shall be provided an six percent (6%) non-compounding cumulative Preferred Dividend paid semi-annually with each fiscal year. The Preferred Dividend will be subject to the financial performance of the Company and the approval of Management and the Board of Directors. The shares of Series A Convertible Preferred Stock are equal in all respects, and upon completion of the Offering, the Series A Convertible Preferred Stock will comprise one of two classes of capital stock that the Company will have issued and outstanding upon close of the Offering. Series A Convertible Preferred Shares are convertible after one year, at the Holder’s discretion, on a 1:1 ratio into Common Shares of stock in the Company.
